Payment Terms & Milestones

Total Investment: ₹6,00,000 (plus 18% GST)
Three milestone-based payments:
Milestone 1 (Kickoff): 40% = ₹2,40,000 - Upon project kickoff and requirements finalization
Milestone 2 (Sales Engine + Backend Delivery): 30% = ₹1,80,000 - Upon delivery of sales engine and checklist system (Week 5)
Milestone 3 (AI App + Final Deployment): 30% = ₹1,80,000 - Upon final deployment and handover (Week 10)
All payments due within 7 days of invoice. 18% GST applicable on all amounts.

Scope & Deliverables

Scope covers 4 core components: Sales Engine, Operations Backend (Configurable Checklists), AI Customer App, and Payment Integration.
AI technology stack to be finalized during architecture phase based on requirements.
Payment gateway preference (ICICI or alternative) to be confirmed during Week 1.
All features and deliverables as specified in this proposal unless modified by written change request.
Any scope changes require written approval from both parties and may impact timeline and cost.

Timeline & Dependencies

Phase 2 development timeline: 8-10 weeks from project kickoff.
Timeline assumes timely client feedback, requirements clarity, API access for integrations (payment gateway, WhatsApp Business API).
Delays due to dependencies outside 1000xdev control (third-party API access, client approvals, content/data provision) will extend timeline proportionally at no additional cost.
Weekly progress updates and bi-weekly demo sessions with stakeholders.
Client to provide test accounts and access credentials for all third-party services within Week 1.

Intellectual Property Rights

All custom code, designs, and documentation created for Phase 2 become Loan Doctor's exclusive property upon final payment.
1000xdev retains rights to generic frameworks, libraries, and tools used in development.
Pre-existing intellectual property remains with respective owners (1000xdev, third-party vendors).
Loan Doctor owns all conversation data, customer data, and business logic implemented in the system.
1000xdev may use the project as a portfolio case study with Loan Doctor's prior approval (with anonymization if requested).

AI Model Costs & Third-Party Services

Development package includes AI model integration and setup.
Client bears ongoing costs for: AI model API usage (estimated ₹10,000-20,000/month based on conversation volume), WhatsApp Business API charges (as per Meta's pricing).
First month of AI usage included in development package for testing and validation.
1000xdev will provide monitoring dashboard to track AI usage and optimize costs.

Support & Warranty

60 days post-launch support included: Bug fixes for delivered functionality, minor adjustments and tweaks, technical assistance and troubleshooting.
Support does not cover: New feature development, scope changes, third-party platform issues, AI model retraining (except initial training).
Response times: Critical issues (system down, payment failures): 4 hours, High priority (functional issues): 24 hours, Medium/Low priority: 48 hours.
Post-warranty support available via Annual Maintenance Contract (AMC) - separate agreement.
AI model updates and retraining available as ongoing service (monthly or quarterly basis).

Confidentiality & Data Security

Both parties agree to maintain strictest confidentiality regarding all information exchanged during Phase 2 development.
1000xdev will sign NDA if not already executed during Phase 1.
All customer data, conversation logs, and business logic will be handled per RBI guidelines and data privacy laws.
AI conversation data stored securely with encryption at rest and in transit.
Data retention policies to be defined by Loan Doctor (default: 2 years for conversation logs, indefinite for transaction data).
GDPR/Data Privacy compliance for personal information collection and processing.
Regular security audits and penetration testing recommended (can be included in AMC).

Regulatory Compliance

Platform designed to comply with RBI guidelines for NBFC operations and digital lending.
WhatsApp Business API usage complies with Meta's policies and TRAI regulations for promotional messaging.
Payment gateway integration follows PCI-DSS standards for secure transactions.
Loan Doctor responsible for obtaining necessary licenses, registrations, and regulatory approvals for operations.
1000xdev provides technical compliance (data security, audit trails) but does not provide legal/regulatory advisory.
Any regulatory changes during development requiring platform modifications will be addressed via change request.

Termination

Either party may terminate this agreement with 30 days written notice.
Upon termination: Full source code handover for completed components, knowledge transfer sessions (minimum 5 hours), 15 days transition support, documentation and credentials transfer.
Payment for completed work required before handover.
No refunds for milestone payments already made.
Material breach requires 15 days remedy period before termination.

Limitation of Liability

1000xdev's liability limited to total fees paid for Phase 2 (₹6,00,000).
1000xdev not liable for: Third-party platform failures (payment gateways, AI model providers, WhatsApp), Business losses due to system downtime, AI conversation accuracy or customer satisfaction, Regulatory penalties or compliance violations.
Force majeure clause applies for events beyond reasonable control.
Client responsible for content accuracy, legal compliance of loan schemes, and customer data protection.
